Terms and Conditions For Employers

Tally Education and Distribution Services Pvt Ltd holding subsidiary and associate companies (hereinafter known as ‘TEPL’) is a subsidiary of Tally Solutions Pvt. Ltd., and is the only organization authorized by Tally Solutions to design and conduct assessments and certifications, issue certifications and print courseware using the Tally brand name. TEPL is committed to working with educators, educational organizations, and industry partners to expand the world of learning through technology. Our certification programs are designed to facilitate learning that is relevant, and demand driven. Because of the industry demand, most of the academic institutions have partnered with us to enable the student and make him job ready. TEPL has created a network of more than 1000 empanelled centres across more than 500 cities in India to certify candidates on computerized accounting using Tally and related vocational skills.

TEPL is intended to only serve as a entity which provides skill training of Tally software and serve as a medium of contact and exchange of information between employers and TEPL Learners who have bona fide intention to contact and or be contacted for the purposes related to genuine existing job vacancies and for other career enhancement services.

TEPL Platform that is subscribed to or used whether the same is paid for by you or not is meant for the above purpose. Copying or downloading or recreating or sharing passwords or sublicensing or sharing user information in any manner is a violation of these terms and results to misuse of the TEPL platform. In such circumstances, TEPL reserves the right in such manner as to protect its loss of revenue or reputation or claim damages including stopping your service or access and report to relevant authorities. In the event you are found to be copying or misusing or transmitting or crawling any data or photographs or graphics or any information available on the TEPL Platform for any purpose other than that being a Bonafide Purpose, TEPL reserves the right to take such action that we deem fit including stopping access and claiming damages.

By using the Services or the Platform, you acknowledge to have read, understood, and agree to be legally bound by these Terms, and that you shall comply with the requirements listed hereunder. If you agree to all the terms and conditions stated herein and commit to complying with them. We reserve the right to modify or terminate any portion of the Platform or the Services offered by us or amend the Terms for any reason, without notice and without liability to you or any third party. To make sure you are aware of any changes, please review the Terms periodically.

TEPL undertakes no responsibility no liability for the quality and genuineness of responses received through the platform. TEPL cannot monitor the responses that a person may receive in response to information he/she has displayed on the site. The individual/company would have to conduct its own background checks on the Bonafide nature of all response(s).

As a policy, TEPL does not engage with companies /employers who insist on the depositing of academic certificates, cheques or service agreements, or charge a fee directly or indirectly from TEPL Learners. If it comes to the knowledge of TEPL about employers who are engaging in such activities, they shall be restricted from using the platform and not be allowed to hire learners from the TEPL platform and shall be blacklisted.

You give us permission to use the information about actions that you have taken on TEPL in connection with ads, offers and other content (whether sponsored or not) that we display across our services, without any compensation to you. We use data and information about you to make relevant suggestions and recommendation to you and others.

The platform may contain links to third party websites, these links are provided solely as convenience to You and the presence of these links should not under any circumstances be considered as an endorsement of the contents of the same, if You chose to access these websites you do so at your own risk.

These Terms shall be read in conjunction with our privacy policy, available at www.tallyeducation.com (“Privacy Policy”), and any guidelines, additional terms, policies, or disclaimers made available or issued by us from time to time.

“Learner” Registered user on the TEPL website who is interested in availing one or many courses offered by TEPL through its platform.

“Employer” A company or an individual who is registered as an employer on the TEPL website. Using the TEPL platform to identify the right Learners for employment in their organisations.

“Partner” refers to a company or an individual authorised to provide Tally courses to the Learners and are accredited by TEPL.

“Courses” accounting and other skill-based courses provided by TEPL to registered Learners

“Services” The Courses offered via TEPL platform to the Learners, recruitment services provided to employers and such other services that may be included from time to time.

  1. Through the Platform, Learners may access, view and attend TEPL courses which will help them upskill and learn in depth about Accounting with TallyPrime.

  2. The provision of any or all the Services is subject to Applicable Laws in India. Further, the provision of any or all of the Services is subject to our sole discretion and their availability on the Platform.

  3. Pursuant to our Privacy Policy, you may revoke your consent at any point of time.

  1. To avail the Services, you will be required to create a profile on the Platform (“Profile”). In addition to setting up a username and password to create the Profile, you will be required to furnish certain details, including but not limited to phone numbers and other personal information. You warrant that all information furnished in connection with your Profile is and shall remain accurate and true, and you agree to promptly update your details on the Platform in the event of any change to this information. We do not independently verify the information provided and shall in no way be liable for the inaccuracy, obsolescence or incompleteness of any information provided by you.

  2. You will maintain the security and confidentiality of your username and password and immediately notify us of any disclosure or unauthorised use of your Profile or any other breach of security with respect to your Profile You will be liable and accountable for all activities that take place through your Profile. We shall in no manner be liable for any unauthorised access to your Profile. If you provide any information that is untrue, inaccurate, obsolete, or incomplete, we may suspend or terminate your Profile and refuse any use of the Services.

  3. By providing us with your email address and mobile number, you agree to receive all required notices, notifications, and information electronically on that email address or mobile number.

  4. Your TEPL registered account is for your personal use alone and the same should not be shared with others. TEPL reserves the right to deactivate/delete your account if the same is being accessed by multiple users. In your use of the Platform, you will, at all times , comply with all applicable laws and regulations.

  5. Please note that TEPL reserves the right to reject or put on-hold, modify or discontinue your registration on the Platform as may be required to comply with any legal and regulatory provisions, and also reserve the right to refuse access to the Platform, terminate accounts, remove content at any time without providing any notice to you, and/or reserve the right to disable any account, feature, or identifiers, whether chosen by you or provided by us, at any time if, in our opinion, the said identifiers or you have violated any provision of the TEPL Platform Terms.

  1. We do not warrant the accuracy, suitability, or correctness of any information that is made available on or through the Services. The Platform and the Services are provided by us on an “as is” basis without warranty of any kind, (whether express, implied, statutory, or otherwise), including the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Without limiting the foregoing, we make no warranty that We do not warrant that the Platform or the Services will meet your requirements or expectations, or that your use of the Services will be uninterrupted, timely, secure, or error-free.

  2. To the fullest extent permissible under Applicable Law, we, our affiliates and related parties each disclaim all liability towards you for any loss or damage arising out of or due to your use of, inability to use, or availability or unavailability of the Services. The occurrence or existence of any defect, interruption, or delays in the operation or transmission of information to, from, or through the Services, communications failure, theft, destruction or unauthorized access to our records, programmes, services, server, or other infrastructure relating to the Services; or the failure of the Services to remain operational for any period of time.

  3. We do not warrant that access to the Platform shall be uninterrupted, timely, secure, or error free nor does it make any warranty as to the results that may be obtained from the Platform or use, accuracy or reliability of Services.

TEPL may terminate your access to or use of the Services, or any portion thereof, immediately and at any point, at our sole discretion if you violate or breach any of the obligations, responsibilities, or covenants under these Terms, or when you cease to become a user of our Services or Platform.

  1. We shall provide the services to you on the basis of your explicit consent.

  2. Your personal information will not be shared without your explicit consent.

  3. Employers shall shortlist candidates based on their specific requirements listed on the portal.

  1. You shall be solely responsible for ensuring compliance with Applicable Laws and shall be solely liable for any liability that may arise due to a breach of your obligations in this regard.

  2. You shall not use the Services in any manner except as expressly permitted in these Terms.

  3. You agree not to distribute in any medium any part of the materials uploaded on the Platform, without TEPL’s prior written authorization You agree not to alter or modify any part of the Platform.

  4. You warrant that you shall not engage in any activity that interferes with or disrupts access to the Platform and shall not attempt to gain unauthorised access to any portion of the Platform any other systems or networks.

  5. You hereby accept full responsibility for any consequences that may arise from your use of the Services. You are to conduct their own research and background verification on the Bonafide nature of the respective candidates.

  6. You agree to receive installs and updates from time to time from TEPL as part of use of this Platform. TEPL reserves the right to discontinue any aspect of the Platform at any time with or without notice at its sole discretion.

  7. TEPL reserves the right to reject or put on-hold your registration on the Platform as may be required to comply with any legal and regulatory provisions. This may be done with or without notice at TEPL’s sole discretion.

  8. You shall not infringe on any intellectual property rights of any person/ entity or retain information/download any information from any computer system or otherwise with an intention to do so.

  9. All disputes arising out of the transactions between a Employer and TEPL will be resolved in accordance with the laws of India as applicable.

  10. Any disputes arising between the Employer and the Learner, TEPL should not be made party to it.

  11. You shall not upload, post, transmit, publish or distribute any material or information that is unlawful, or which may potentially be perceived as being harmful, threatening, abusive, harassing, or otherwise objectionable.

  12. On posting a job opening on the Platform you confirm that you have obtained all licenses/permits as are necessary for recruitment and to indemnify TEPL against all claims, damages arising out of actions/claims that may be made in relation to the same.

  13. 13. On posting a job on the TEPL Platform, TEPL reserves the right to request permission for using your company name and logo in its marketing materials. TEPL understands and agrees that the Employer’s endorsement of TEPL and TEPL’s use of the Logo is limited to its good faith belief that TEPL conducts its business in accordance with applicable laws. Third Parties handling job postings undertake that they have obtained the permission of the respective companies before posting their job postings on the TEPL website. In case you are not in favour of your logo being used in the TEPL Platform, the same may be intimated to marketing@tallyeducation.com, adequate actions will be taken upon receiving such intimation.

  14. You hereby accept that TEPL would not be held liable for any loss of data whether technical or otherwise or for loss of information or particulars given by you due to reasons beyond its control like corruption of data or delay or failure to perform as a result of any causes or conditions that are beyond TEPL’s reasonable control.

  15. You will comply with all applicable data protection laws in relation to the processing of personal data; and not process personal data in an unlawful manner and excessive with regard to agreed purposes as defined in the privacy policy and this terms and conditions.

  16. You shall implement adequate technical and organizational controls to protect the shared personal data obtained from the Company against unauthorised or unlawful processing and against accidental loss, destruction, damage, alteration or disclosure.

  17. The onus of any misuse of personal details accessed through your account lies on You. Access to services subscribed by You may be availed of and extended to authorized personnel only i.e. persons who are bound by employment agreements and confidentiality agreements.

  18. You agree to provide reasonable assistance as is necessary to facilitate the handling of any Data Security Breach (as relevant under privacy laws applicable) in an expeditious and compliant manner.

  19. You agree that the responsibility for complying with a data subject /data principal request lies with the Party which holds/processes the Personal Data collected/shared.

  20. You warrant and represent that the institution shall not disclose or transfer Personal Data obtained from the Company to any sub-processors without ensuring that adequate and equivalent safeguards to the Personal Data.

  21. You shall retain or process shared Personal Data for no longer than is necessary to carry out the agreed purposes.

  22. You shall act as an independent Data Controller in respect of shared personal data obtained from TEPL once the data is collected by You and You shall be responsible for its secure use at all times.

  23. To prevent any unauthorized users from accessing your account, you should maintain control over the account/devices that are used to access TEPL and not reveal the password or other confidential details associated with the account to anyone.

  24. When you use a device to access the Platform, TEPL may collect device location and other technical details to ensure safe access to account.

  25. In case any suspicious activity is noted in your account, TEPL may place restrictions on your account, which may extend to disabling access.

All title, ownership rights, and intellectual property rights in and to the Software, including but not limited to patents, copyrights, trademarks, trade secrets, and other proprietary rights, shall remain with Tally. This Terms of Use does not grant User any rights in connection with any trademarks or service marks of Tally. By accepting the terms and conditions laid out herein, you now consent to TEPL’s use of your company logo on TEPL website to promote TEPL’s client relations for future work and marketing purposes.

Users agree to keep all confidential information obtained through our services confidential and not disclose it to third parties. This obligation shall survive the termination of services. 

User agrees to indemnify, defend, and hold harmless Tally and its respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to User's use of the Software or any breach of this Terms of Use by User. 

At your discretion, you may provide feedback or opinions about TEPL or the Site, such as identifying potential errors, improvements, modifications, bug fixes, or enhancements, review, comments and testimonials (“Feedback”). TEPL is free to use such Feedback without any additional compensation to you, and free to disclose such Feedback on a non-confidential basis or otherwise to anyone.  If you provide Feedback to TEPL, you hereby grant to TEPL a nonexclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple layers of sublicensees) right and license to make, use, sell, sublicense, reproduce, distribute, perform, display, prepare derivative works from and otherwise exploit all such Feedback for any purpose without restriction. TEPL may disclose any or all Feedback to any third party in any manner and may sublicense any or all Feedback in any form to any third party without restriction. Accepting any Feedback does not constitute a waiver of any rights to use similar or related ideas previously known to TEPL, or developed by its employees, or obtained from sources other than you.

No third party shall have any rights to enforce any terms contained herein.

Any access to a third party’s software applications or links on the Platform shall be at your sole risk, and we shall not be liable for any losses sustained by you, or any third party in this regard. You understand and agree that when you access a link that leaves our Platform or any third-party software applications on the Platform, the site you will enter into or the third-party software you access, and use is not controlled by us and will have different terms of use and privacy policies that may be applicable. By accessing links to other sites or accessing such third-party software applications, you acknowledge that we are not responsible for those sites/third party software. Your use of any third-party software application or links on the Platform is subject to the license you agreed to with the third party that provides you with the software/links. We do not own or control nor do we have any responsibility or liability for any third-party software application or links that you elect to use on our Platform and/or in connection with the Services. Any transaction you undertake on such third-party sites or third-party software applications would be solely at your own risk, and we shall not be liable for it in any way. We reserve the right to disable third party links or software applications on the Platform, although we are under no obligation to do so.

Grievance Redressal Policy is formulated with a purpose to provide the efficient customer service support through a laid down procedure and the same can be accessed via link “Customer Support Policy” on company’s website.

We reserve the right to modify these Terms, in our sole discretion, at any time. Such modifications may be posted through the Services, on our Platform or when we notify you by other means. The changes may be periodically intimated to you and your continued use of the Services indicates your agreement to the modifications.

In no event shall we be liable for any special, incidental, punitive, indirect or consequential damages whatsoever (including but not limited to damages for loss of profits, loss of confidential or other information, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, negligence, and any other pecuniary or other loss whatever) arising out of or in any way related to the use of or inability to use the Services or failure to provide support or other services, information and related content through the software or Platform, or otherwise arising out of the use of the Services, even if you have been advised of the possibility of such damages. In no event will our entire liability to you in respect of Service and Platform, whether direct or indirect, exceed the payment made to us by you. We shall have no liability to you if we are prevented from or delayed in performing our obligations due to force majeure event.

We shall have no liability to you if we are prevented from or delayed in performing our obligations or from carrying on our business by acts, events, omissions, or accidents beyond our reasonable control, including, without limitation, strikes, failure of a utility service or telecommunications network, the act of God, war, riot, civil commotion, pandemic situations, malicious damage, compliance with any law or governmental order, rule, regulation, or direction.

In the event of dispute whatsoever arising between the parties in any way connected with the interpretation or implementation of any term of this document, or in any way connected with the use or inability to use the software, the same shall be referred to the sole arbitration or a person to be appointed by Tally, and the decision of the arbitrator will be final and binding on all parties. The arbitration proceedings shall always be held in Bengaluru, India. All disputes whatsoever that may arise shall be governed and construed in accordance with the laws prevailing in the Republic of India and courts of Bengaluru shall have absolute jurisdiction. 

If any provision of this Terms of Use is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remainder of this Terms of Use shall remain in full force and effect, and the affected provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties. 

No waiver of any provision of this Terms of Use shall be deemed, or shall constitute, a waiver of any other provision, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. 

All notices or other communications required or permitted under this Terms of Use shall be in writing and shall be deemed given when delivered personally, sent by certified or registered mail, postage prepaid, or sent by email, to the parties at their respective addresses set forth in this Terms of Use, or to such other address as either party may designate by notice to the other party.
